Terms of Service

1. General

These Terms of Service (the Terms) govern the use of the Volti.ee web service (the Service) provided by Volti lahenduse OÜ (registry code 17495075, Tartu, Estonia; Volti) by legal entities (the Customer).

The Terms enter into force on account creation when the Customer confirms acceptance. Use of the Service is not permitted without acceptance.

2. The Service

The Service is a web-based SaaS platform for the digital management of electrical-installation operation, maintenance, and inspection reports. Detailed functionality is described on the homepage and may evolve over time.

3. Accounts

  • The Customer is responsible for activity on the account.
  • Safekeeping of credentials (password, authentication devices) is the Customer’s responsibility.
  • Accounts may be used only by persons connected to the Customer (employees, partners). Resale or sharing with third parties is prohibited.

4. Acceptable use

The Customer must not use the Service:

  • unlawfully or in violation of third-party rights;
  • to distribute malware or exploit security vulnerabilities;
  • to send spam or unsolicited marketing at scale;
  • to load the Service mechanically in a way that disrupts other customers (DoS / scraping beyond reasonable limits).

5. Pricing, billing, and automatic renewal

  • Current prices are listed on the pricing page. All prices are shown exclusive of VAT; the applicable VAT rate is added on the final invoice.
  • Billing follows the chosen plan (monthly or annual). Annual billing is paid in advance for 12 months.
  • Automatic renewal (LOA §62¹): the subscription renews automatically for the same period unless the Customer cancels in account settings before the end of the current period. Customers may cancel at any time — confirmation is sent to the registered email.
  • Invoice payment term: 14 days. For unpaid invoices Volti may suspend the account after a 30-day reminder period.
  • Price changes are notified to the Customer at least 30 days in advance by email; the Customer may terminate the contract effective on the change date if it does not accept the new pricing.

6. Service level (SLA)

Service availability, planned maintenance windows, incident response, and service-credit terms are set out in a separate SLA document.

7. Liability and limitation of liability

  • Volti is liable for direct damages caused by its fault (including gross negligence and intent).
  • Liability cap:Volti’s aggregate liability towards the Customer is limited to the service fees actually paid by the Customer to Volti in the 12 months preceding the breach.
  • Volti is not liable for indirect damages (lost profits, reputational damage, loss of business information), except where the law does not permit such limitation (intent, gross negligence, personal injury).
  • The Customer is responsible for the accuracy of its data, for backups, and for post-termination data export.

8. Intellectual property

  • The Service platform, source code, design, and trademark belong to Volti. The Customer obtains only a non-exclusive right of use for the duration of the contract.
  • All Customer-entered data (clients, drawings, inspection reports, photos) remains the Customer’s property. Volti processes it only for the purposes of providing the Service under the DPA.

9. Data protection

Personal data processing is governed by the Privacy Policy. The Customer enters into a separate Data Processing Agreement (DPA) with Volti, which forms an integral part of using the Service.

10. Termination

  • Either party may terminate the contract on 30 days’ notice without cause.
  • Volti may terminate immediately upon material breach by the Customer (including invoices unpaid for over 60 days, unacceptable use).
  • On termination, the Customer has 30 days to export its data (see LEGAL-007 / Privacy Policy s. 7). Thereafter data is deleted subject to statutory retention.
  • For annual prepayment, no refund is made for the unused period on termination, except where termination is due to material breach by Volti. See the separate refund policy.

11. Force majeure

Neither party is liable for failure to perform obligations caused by force majeure (war, natural disasters, governmental decisions, large-scale internet outages). The affected party shall notify the other of the impact within a reasonable time.

12. Changes to the Terms

Volti may unilaterally amend the Terms by giving the Customer at least 30 days’ notice by email and on the login page. If the Customer does not accept the amendments, it may terminate the contract before the amendments take effect; continued use after the effective date is deemed tacit acceptance.

13. Governing law and jurisdiction

These Terms and any disputes arising from the use of the Service are governed by the laws of the Republic of Estonia. Disputes that cannot be resolved by negotiation are settled at Harju County Court.
